Berkman is the company. Lextree is the product.

Berkman LLC is a Wyoming limited liability company doing business as Berkman Solutions. We have been writing software for legal and compliance teams since before “compliance software” was a category anyone shopped for. Lextree is the result: one platform, built and supported by the same people, sold to you directly.

We build one product, for one job: knowing what your organization owes, and proving you paid it.

What fifteen years of this work taught us

We did not set out to build a platform. We set out to answer a narrower question a client kept asking: what is due next, and did we file the last one? Answering it for organizations that look nothing like each other turned it into the larger one — how do you prove, to whoever asks, years after the fact, that the work was done? That is what shaped Lextree.

Nobody misses a filing on purpose

Missed deadlines are almost never a discipline problem. They happen because the deadline lived in one person’s calendar, the supporting document lived in someone’s inbox, and the entity it belonged to was registered by a colleague who left in 2019. By the time anyone notices, the penalty is already accruing.

So Lextree keeps the obligation, the document, the entity, and the person responsible in the same record. Not in four systems that reconcile once a quarter.

The record has to outlive the person who made it

Compliance work is judged years after it happens — in a diligence review, an audit, a regulator’s request, a lawsuit. The person who did the work has often moved on. Whatever they left behind has to stand on its own.

That is why every change in Lextree writes to its own history as it happens, rather than being reconstructed later from email. The trail is a byproduct of doing the work, not a separate chore.

Software that demands a clean start never gets used

Every organization we have worked with arrived with spreadsheets, shared drives, a filing cabinet, and at least one system nobody wants to talk about. Tools that require you to fix all of that first get abandoned in month two.

Lextree is built to take your records as they are — partial, inconsistent, mid-migration — and become more useful as you fill them in. You do not have to finish the cleanup to start getting value from it.

The work is the same everywhere; the details never are

An annual report in Delaware, a beneficial ownership filing, a trade license in the UAE, VAT registration across the EU. The structure of the work is identical: something is due, someone has to do it, and you need to prove it happened. The specifics change with every border, every regulator, and every entity type.

Lextree holds the structure and lets the specifics vary — which is why the same platform serves a county government, a private equity firm, and a public company with entities on four continents.

What we sell, and what we don’t

We sell software and the support that goes with it. We are not a registered agent, a filing service, a law firm, or a consultancy that bills hours to configure what we sold you. We do not take a cut of your filings. Our incentive is that you keep using the product, which means it has to keep working without us in the room.

We are also a small company, and we treat that as an advantage rather than something to hide. Support is answered by people who know the product. Feature requests reach the people who build it. When we tell you something is on the roadmap, you are hearing it from someone who can say so honestly — and when the answer is that Lextree does not do that, we will tell you plainly instead of selling you a workaround.

    A single corporate secretary handling a dozen entities uses the same platform as a legal department managing several hundred across a dozen countries. What changes is how much of it you turn on, not which product you buy.

  • Public and private

    Public companies use Lextree for board records, subsidiary governance, and the audit trail their filings depend on. Private companies use it for the same reasons, plus the diligence request that arrives with a buyer attached. Either way the entities sit wherever the business took them.
