Where Contracts Fall Apart

Organizations rarely lose track of their biggest contracts. The costly mistakes are quieter: a termination window that closes during vacation, an auto-renewal that locks in another year of bad terms.

A Central Registry

Each contract is an ongoing relationship, not a document in a folder. The registry captures type, category, effective and expiration dates, governing law, auto-renewal terms, and termination provisions.

Classify by type (service agreements, NDAs, master agreements, leases) and category (customer, vendor, intercompany, government). Answer questions spreadsheets can’t: which contracts expire in 90 days, which auto-renew, which fall under New York law.

A master services agreement might name a parent and three subsidiaries. Each record tracks every party across your entity portfolio, with classification, role, and signatory status. When an auditor asks which entities are party to which contracts, the answer is already there.

Amendment Chain

Contracts evolve. Terms get amended, dates extended, scope modified through addenda and side letters.

Each amendment, addendum, restatement, and extension links to its parent with an effective date and a description of what changed. When an amendment modifies a key date, the contract record updates. The amendment record preserves the history.

In an audit or dispute, demonstrate that a specific amendment took effect on a specific date — and that current terms reflect every modification. No digging through email to reconstruct the real terms.

Renewal Reminders

Missing a deadline is the most preventable contract failure. Reminders fire 180 days before expiration, with follow-ups at 90, 60, and 30 days.

These aren’t calendar entries. They’re structured events tied to the contract record, visible to everyone with access. Current terms, parties, amendment history, and related documents sit alongside the reminder.

For auto-renewal contracts, the window opens to evaluate, renegotiate, or terminate before the notice period closes. Statements of work track separately, so an MSA renewal never masks an expiring SOW.

Tracking, Not Drafting

The Contracts module isn’t a contract lifecycle management (CLM) platform. It doesn’t draft contracts, manage negotiation, or handle e-signatures. Other tools do those things well.

Contract tracking picks up where CLM stops. Once a contract executes, the compliance work begins: monitoring dates, maintaining amendment history, proving status for audits.

Connections matter. The vendor on a service agreement has insurance requirements in Vendors. The entities named as parties have their own registrations in Legal Entities. When good standing lapses, you see every contract where that entity is a party. Some contract types (leases, IP licenses, loan agreements) can live in Contracts or in their domain modules — Real Estate, Intellectual Property, or Treasury. You configure where each type belongs.
