When an entity’s registration status changes — filed, suspended, reinstated — the Timeline records it with an effective date. Point-in-time queries answer the questions that arise during transactions and audits: “Was this subsidiary in good standing on December 31?” The answer is a query, not a research project.

Formation and Lifecycle Records

Articles of incorporation, bylaws, operating agreements, and partnership agreements live alongside the entity they govern. Every amendment, restatement, and name change enters the record as it happens. The full version history lets you produce the governing document in effect on any specific date.

Board Governance

The Board Governance module tracks board composition, committee assignments, meeting schedules, and resolutions across every entity. Each board carries its own attendance records, approved minutes, and resolution history.

When bylaws require quarterly meetings, the Events calendar surfaces that obligation alongside annual report deadlines, insurance renewals, and contract expirations. Governance obligations appear in context with every other compliance deadline — not in a separate system.

Signing Authority

Who can sign contracts, open bank accounts, or file government documents on behalf of each entity? Lextree’s Authority module tracks signing authority, powers of attorney (POA), and delegations with effective dates and expiration periods.

The Timeline records when each authorization became effective, was modified, or was revoked. A counterparty’s counsel asks who had authority to execute an agreement on a specific date. The answer is on the record — not reconstructed from board minutes and memory.

Contracts, Insurance, and IP

Claims-made policies — D&O, errors and omissions, cyber liability — demand the most vigilance. A coverage gap eliminates protection for incidents discovered after the lapse, even if the incident occurred during the policy period. Renewal reminders at 90, 60, and 30 days keep these deadlines visible.

Insurance underwriters increasingly require proof of corporate good standing at renewal. That link between entity status and insurance coverage is invisible in separate tools.

Intellectual Property

The Intellectual Property module tracks patents, trademarks, copyrights, and domain registrations with filing dates, registration numbers, and renewal deadlines. Maintenance fee deadlines and trademark renewal dates carry the same advance reminders as annual report filings.

For the GC managing a portfolio of registered IP, systematic tracking prevents costly lapses. A missed maintenance fee or trademark renewal is expensive to remedy and difficult to explain to the board.
