Entities and Good Standing

The Legal Entities module anchors the whole organization. Each professional corporation, MSO, and holding company becomes a tracked record carrying its registrations, registered agent, good-standing status, and filing calendar. When a group qualifies to do business in three more states, every new filing obligation appears on one calendar instead of a dozen separate state-website logins.

Payers and lenders check corporate good standing before they contract or fund. When a managed-care organization or a buyer’s counsel asks whether an entity stood in good standing on a given date, the Timeline holds the dated answer — no research project required.

Each entity’s governance records sit alongside its registrations. The Board Governance module keeps board minutes, written consents, and current officer and director lists for every professional corporation and MSO, so a diligence request or an authority question meets a documented answer instead of a search through email.

Contracts, Vendors, and Payers

Healthcare runs on contracts. A single facility can carry thirty or more active agreements, and a multi-site group manages hundreds — each with its own renewal date, notice window, and amendment history.

Vendor and Service Agreements

Staffing agencies, therapy providers, pharmacy services, group purchasing organizations, food service, and maintenance — every facility depends on vendors. The Contracts and Vendors modules hold a central registry of every agreement, with renewal reminders that fire before an auto-renewal window closes. When one therapy provider serves six facilities under separate contracts, you see the whole relationship — not six folders in six places.

Payer and Managed-Care Contracts

Managed-care and payer agreements drive reimbursement, and each carries its own effective date, renewal cycle, and rate schedule. Track every payer contract by entity, link each amendment to the original with its effective date, and hand the CFO the current rate structure for any payer without a search through email.

Licenses, Certifications, and Insurance

Two more obligation types live entirely outside the secretary of state, and both punish a missed date. Facility licensing and insurance renew on their own cycles, per entity, and each attaches to the entity that holds it.

Facility Licenses and Accreditations

Each site renews its operating license, CLIA certificate, and facility DEA and pharmacy registration on separate schedules, tracked through Licenses & Permits and Certifications — facility-level authority, not individual provider credentials. Accreditation survey windows from the Joint Commission, AAAHC, or CARF sit on the same calendar.

Insurance and Coverage

Professional liability, general liability, and property policies each renew per entity, and a lapse means force-placed coverage or a denied claim. The Insurance module tracks certificate and renewal dates with advance reminders, so coverage never quietly expires between renewals.
