Governance module guide
Last updated: September 5, 2026
The Governance module tracks the governance bodies, people, meetings, and decisions behind your organizations — corporations, nonprofits, and LLCs with formal governance. It’s where you record who sits on the board, when they meet, and what they decide. Board approval of the organization’s financial statements is typically recorded here as a resolution. A resolution that approves a new policy connects to the Policies module, which tracks the policy document itself and which entities have adopted it.
What Governance tracks
- Boards — governance bodies (Board of Directors, Advisory Board, Supervisory Board).
- Board Members — individuals serving on a board, each with one or more appointment terms (start, end, role).
- Officers — corporate officers, each with their own appointment terms.
- Committees — subgroups of a board (Audit, Compensation, Nominating), with their committee members and appointment terms.
- Meetings — records that a board or committee meeting occurred, with attendees tracked for quorum and compliance.
- Resolutions — decisions or actions taken by a board or committee.
- Board Consents and Committee Consents — written consents in lieu of a meeting, taken at the board level or the committee level.
- Consent Signatories — who signed a board or committee written consent, and when, used to determine whether a consent’s signatures are complete.
- D&O Questionnaires — annual director-and-officer disclosure tracking (status, not the content itself).
Adding a record
Creating or editing governance records requires Editor access to the Governance module.
Open the record type you need, click New, complete the form, and Save. To manage nested items, open a board, committee, or meeting record. From there you can edit members and their appointment terms, or a meeting’s attendees and resolutions.
Who can access board governance
- Viewing requires access to the Governance module.
- Creating or editing requires Editor access.
On Enterprise plans, access group scoping limits records to entities within your assigned access groups.
