Contracts, contractors, and the organization behind care.

### Public notes

Begin with the agreements and contractor relationships that support daily operations. Then connect those records to the entities, decision makers, and compliance responsibilities behind them.

The core overview covers contracts and contractors; corporate structure, governance and authority; and regulators, risk and disputes. Operations and finance are an optional extension if time and interest allow.

- [Explore Counterparties](<https://lextree.ai/counterparties/>)

### Public notes

**Contracts** keeps the agreement, parties, amendments, and obligations together. Track the notice deadline separately from expiration so the team has time to decide whether to renew, renegotiate, or end the relationship. Payer and managed-care agreements can also be organized by entity with their rate schedules and amendments.

**Counterparties** keeps the contractor's qualification record: onboarding steps, certificates of insurance, tax documentation, licenses, and certifications. Supporting files and dated history help show what the team reviewed and when.

For example, a therapy provider may serve several facilities under separate agreements. Review the agreements and notice dates alongside the provider's qualification documents to identify what needs attention before the next renewal.

### Public notes

**Legal Entities** provides the record for each operating entity, management company, foundation, or property-holding entity, including its registrations and governing documents.

**Entity Ownership** records ownership interests and voting rights where applicable, including changes in subsidiaries and joint ventures. For nonprofit organizations, governing documents, board composition, and delegated powers also help explain how the organization is controlled.

**Governance** preserves board and committee membership, meetings, resolutions, and written consents. **Authority** records who may act for an entity, within what scope and limits, and for which dates.

When reviewing a service agreement, identify the contracting entity, the decision authorizing it, and the person with authority to sign.

### Public notes

Add these modules when property, asset, banking, or financial reporting records become part of the team's remit.

**Real Estate** keeps owned and leased facilities with their ownership, lease terms, financing, and supporting documents. **Assets** records titled vehicles and equipment, evidence of ownership, liens, and disposition history.

**Treasury** tracks bank accounts and signatories, credit facilities, guarantees, and covenant certification deadlines. **Financial Statements** registers prepared financial statements and their associated reports, distinguishing standalone and consolidated sets, reporting periods, and assurance levels.

For example, a facility financing review may draw on the property's lease or title, pledged asset records, the credit facility, and the relevant financial statement set. Attachments, calendar events, workflows, and dated history support work across these modules.
