Closing Binder to Maintained Records

Legal Entity Records
Formation certificates, the operating agreement amended and restated at closing, and certificates of status land on the acquired entity’s record and on each subsidiary’s record. Each gets an owner and a next date.

Board and officer appointments made at closing get their own evidence record, tracked separately from this handoff. Names in the closing set that don’t match the entity register’s own naming get reconciled as a separate step.
Contracts, Licenses, and Permits
Each agreement in the closing set lands in the contract record with its parties and the obligations the business keeps performing after close. The owner is whoever manages that counterparty relationship going forward. When a change-of-control consent wasn’t obtained at closing, it becomes a follow-up item with an owner and a next date. That’s not a reason to hold up the rest of the handoff.
Record every license and permit at the acquired company, its issuing authority, and current owner, from a facility operating permit to a narrower activity permit. These land on licenses and permits the acquired company holds. Don’t assume the acquisition itself triggers an update. Whether a given license or permit needs an ownership-change filing is a question for the issuing agency. Record the answer and the date it was confirmed.
Treasury Accounts and Facilities
The bank account and authorized signatory schedule from the closing set lands on accounts and credit facilities at the portfolio company. Updating bank signatories after an acquisition is a post-close change owned by the controller. It’s complete once the bank confirms the new signatory card and removes the prior signatories.
The credit facility agreement lands on the facility’s own record. Anything the closing left open under the facility becomes one follow-up item with an owner and a next date.
