No one can confirm which entity holds the title, whether any liens cleared, or where the bill of sale went. Multiply that across a fleet of vehicles, heavy equipment, and a vessel or two — across multiple entities and several states. The question shifts from “do we own this?” to “can we prove it?”
Spreadsheets track serial numbers and purchase dates, not title documents, lien releases, or which entity acquired the asset from whom. Asset compliance starts with ownership proof. Without a registry, that proof lives in filing cabinets and email threads.

Compliance, Not Operations
Most asset management software tracks operations — location, condition, maintenance schedules, fuel consumption. Those tools answer a different question than the one auditors, lenders, and acquirers ask.
The asset compliance question is narrower and more consequential: Who owns this asset? Since when? Is it encumbered?

Auditors reviewing the balance sheet need acquisition and disposition records going back years. A maintenance log doesn’t answer those questions. A title registry does.
The Records That Prove Ownership
Three records form the core of asset compliance: the asset itself, the title that proves ownership, and the liens that encumber it.
Asset Registry
Each asset record identifies the owning entity, asset type, and serial number or VIN — along with the acquisition date, cost, and prior owner. When the asset is sold, transferred, or scrapped, the disposition record captures the date, method, and amount.
Disposed assets stay in the registry permanently. Tax audits look back seven or more years, and due diligence requires historical proof.
Title Documents
A title document is the legal proof of ownership. Each title record captures its document number, issue date, issuing authority, and whether a lien is noted.
When a new title arrives — after a lien release, for example — the prior title moves to superseded status. The full chain stays intact, so you can produce the title in effect on any date.
Title documents attach directly to the asset record. When a lender asks for a copy of the certificate of title, you open the record and the document is there.
Lien and Encumbrance Status
Liens are the difference between owning an asset and owning it free and clear. Each lien record names the lienholder and lien type — purchase money, refinance, tax lien, or judgment lien. The original amount and recording date complete the picture.
When the lien is satisfied, the release date and release documentation close the record. Released liens stay in the system — they prove when an asset became unencumbered, a fact that matters for collateral documentation, insurance claims, and sale transactions.

A titled asset doesn’t exist in isolation. It belongs to an entity, may secure a loan, and may carry insurance. Lextree connects asset records to the modules where those relationships already live.
Legal Entities
Every asset belongs to an owning legal entity. When a business operates across multiple entities and states, knowing which entity holds which asset is a compliance question — not a convenience. Internal transfers require updated title documentation, and dissolving an entity raises immediate questions about the assets it holds.
Assets share the same entity structure as registrations, governance, taxes, and insurance. Access follows entity boundaries, so users see only the assets belonging to entities in their scope.
Property: Tangible and Intangible
Titled tangible assets and registered intellectual property serve the same compliance purpose: proving ownership. Patents, trademarks, and domain names carry registration documents and renewal deadlines, just as vehicles and vessels carry title documents and lien status. Together, they give you a complete picture of what the organization owns — physical and intangible — across every entity.

When a lender asks whether collateral is unencumbered, the answer is in the asset record. When an insurer asks what you owned on the date of a claim, it’s there too.
