Entity management answers three questions: where is each entity registered, what documents govern it, and what filings keep it in good standing. Lextree’s Legal Entities module tracks all three.

Registrations Across Jurisdictions

Every entity starts with a formation filing. Many expand through foreign qualifications, branch registrations, and trade name registrations in additional jurisdictions.

Each registration carries its filing date, jurisdiction, status, and registered agent. You answer “where is this entity registered?” immediately, for any entity in your portfolio.

When a registration status changes — filed, suspended, revoked, reinstated — the Timeline records it with an effective date. Point-in-time queries prove registration status on any historical date — the first question auditors ask during due diligence.

Formation and Governance Records

Articles of incorporation, bylaws, operating agreements, and partnership agreements define every entity’s legal existence. Each lives with the entity it governs. Version history shows when each document became effective and which prior version it replaced.

When governing documents are restated or amended, the new version links to the original. You produce the version in effect on any date, not just the most recent one.

Periodic Filing Deadlines

Annual reports, franchise taxes, and confirmation statements follow different schedules in every state. Miss one, and the escalation is predictable: late fees, then loss of good standing, then dissolution. Some states begin dissolution after just 120 days.

Governance and Authority

Registrations and filings are only part of the picture. Every entity also needs governance: boards that meet, officers authorized to act, and ownership structures that are documented and current.

Board Governance

Lextree’s Board Governance module tracks board composition, meeting schedules, and resolutions for each entity. You know who serves on which board, when terms expire, whether quorum is met, and what resolutions authorize corporate action.

Meeting minutes, attendance records, and approved resolutions live on the meeting record. When a board authorizes a transaction, the resolution links to the governance event — proof that the board properly authorized the action.

Signing Authority

Who can sign contracts, open bank accounts, or file government documents on behalf of each entity? Lextree’s Authority module tracks signing authority, powers of attorney, and officer appointments with effective dates and expiration periods.

The Timeline records when each authorization became effective, was modified, or was revoked. You prove who had authority on any date — not just who holds it today.

Ownership

Lextree’s Ownership module tracks equity holdings, transactions, and ownership percentages across the corporate family. When ownership changes through issuances, transfers, or redemptions, each transaction is dated and documented. You answer “who owned what, and when?” with precision.

Obligations That Cross Modules

A single entity generates obligations across multiple domains. Each domain has its own module, but all connect through a shared entity hierarchy. A change to one entity is visible everywhere that entity appears.

Taxes

Lextree’s Taxes module tracks tax return deadlines, extension filings, and audit status for each entity in each jurisdiction. Tax obligations multiply with entities and jurisdictions — ten entities across five states can mean hundreds of filing deadlines. Every due date appears with the same advance reminders and calendar feeds that drive periodic filing compliance.

Insurance

The Insurance module tracks policies, endorsements, and certificates of insurance across the corporate family. Most commercial policies expire at 12:01 a.m. on the renewal date with no grace period.

Claims-made policies — Directors & Officers (D&O), errors and omissions, cyber liability — provide no coverage for incidents discovered after a lapse. That holds even if the incident occurred during the policy period.
