Entity management overview
0:00 You can capture and control all the compliance, governance, and ownership information for your legal entities in Lextree. This demo will show the entity management capabilities by focusing on three core modules, Entity Ownership, Legal Entities, and Governance.
0:17 There are 21 modules in Lextree. These are the three that are most commonly used in entity management.
0:24 There are, however, some additional modules that some clients turn on depending on their specific needs. The Real Estate module, the Taxes module.
0:32 All of these are included with your subscription on every plan. They’re just optional modules.
0:38 We’ll touch on these during the demo. Finally, there are some features that are common and woven throughout the product.
0:44 There’s a compliance calendar that centralizes all of your important filing obligations and dates.
0:51 There are powerful workflows that allow your team to work together to get results. Customization allows you to make Lextree your own.
0:58 The timeline features give you a visual change history of every record if you want, and file attachments for important documents.
1:08 So with that, let’s take a look at Lextree.
Dashboard and search
1:10 We’ll start on the dashboard. This gives you quick access to everything that’s important to you and that is happening among your legal entities.
1:17 You can, of course, customize what is presented here on the page. We’ll start with a search, where you can search for any terms that you want.
1:27 Lextree will look at all of your data and your documents. So in this example, we have data, and then we’re actually searching in the attachments as well for those results.
1:36 And you can click on any of these to go view those results. The Needs Attention section will show you all of the things that are coming due in the next few weeks.
1:46 You can select any of these, see those details, and jump right to what needs attention. We’ll display all the workflows that you’re involved in and their current status, things that are recently updated.
1:58 And Favorites is where you can star work that is work in progress that you need to return to quickly.
2:05 Down here at the bottom, we’ll see modules. These are the modules that you have turned on and have access to, and what your role is in each of those.
2:15 So we’re going to focus on the legal entity management modules that tend to make up the core of entity management.
Entity Ownership
2:22 So we’ll start with Entity Ownership. This is the module that captures what entities own what other entities.
2:31 And so here you can see we have a list of all of the owners, all of the holdings, their current status. We have ownership percentage, units, their holding capacity.
2:43 But here’s the important thing. All of this data is fully customizable. So if, for example, you don’t distinguish between economic ownership and voting ownership, you can simply have a one field that represents the ownership percentage if you want.
2:58 If you want classes of shares, you can add that as well. Very easy to do in the Settings area that we’ll return to near the end.
3:06 The Entity Ownership module also provides support for tracking equity transactions, convertible instruments, and so on.
Automated ownership charts
3:14 But the most important feature in this module is the charts. Lextree builds your ownership charts automatically for you, regardless of how complex the structure is.
3:25 No more drawing boxes and pushing them around on a canvas. To create a new chart, you would just select New. But we’ll look at one that’s already been created.
3:34 This is the structure for Great NewCo. This is the viewer presentation. We can zoom in.
3:38 We can zoom out. We can drag it around if we need to. But the real power is in the designer.
3:45 So by selecting Design, we have now full control over the look and feel of this chart. And it’s more than just the shapes and colors, which of course we can change.
3:57 But you’ll notice that Lextree is automatically handling complex situations, like generation skipping ownership, where this owner owns indirectly through the trust, as well as directly into Great NewCo.
4:09 And we can show both of those if you need to. And adjustments are very simple in Lextree. You can simply select any of these items and drag them wherever you need.
4:20 And Lextree will support that and preserve that layout change. But the real driver here is that this is data-driven. And so we can change the data that is displayed on here and use the data in the rest of the system.
4:37 So you’ll see, for example, we’re displaying the legal entity type and the jurisdiction of these entities.
4:43 If we want to add additional data or remove that, we simply come here and choose that. And you’ll see we have these two fields.
4:50 And all of the other data in the system that is linked to this entity is available. And we can choose, for example, the entity role and display that additional line of data.
5:00 And Lextree will show us that. And now we see holding company, fund, and holding company in these entities.
5:08 So powerful data-driven design. And of course, we can always change our mind, remove that line of data, and display the results.
5:19 And we’re back to our base. Now, because Lextree has these powerful automated layout tools, it gives you unprecedented control of what your chart looks like.
5:31 So by default, Lextree will show you the ownership structure from top to bottom. That is, from the parent owners all the way down to the bottom subsidiaries.
5:39 But you may want to reverse that and put the subsidiaries on top and the parents on the bottom. It’s not a problem.
5:46 Based on your data, your needs, you also may want to view the chart horizontally, which you can do in either direction.
5:54 And then if you want, always just return to top down. These are just a few of the design capabilities. And of course, you can change the shapes and format.
6:05 And the shapes include the traditional tax-driven shapes. So if you’re doing tax-based organization charts, you’ll be able to present those as well.
6:13 So that’s the entity ownership module in Lextree at a glance.
Governance: boards, officers, and directors
6:16 Let’s take a look at governance. So governance is where you manage all of your officers and directors for all of your legal entities.
6:25 And we’ll start with the boards. So you can have more than one board of directors for an entity if you want or need.
6:31 But what we’ll do is come take a look at Great NewCo’s board of directors. And here, we’re looking at the detail for this board.
6:38 So Great NewCo has seven authorized seats. They have a standard term. There are rules about when and how they can meet.
6:45 There’s got to be a notice requirement, a quorum requirement. And you’ll see down here, we have the members listed.
6:52 And we can add new members easily. And all the data about how they were appointed, when their term is, is available to us.
7:01 We can see meetings for this board. And over time, this obviously will expand with quarterly meetings, annual meetings, special meetings are all supported.
7:11 Boards can have committees. They can have as many committees as you need. Each of those committees have their own structure.
7:18 And you can access those committees directly here. So you can see everything at a glance as well as through a detailed view.
7:27 You could also manage your officers and directors. Officers will be presented here, the organization, their title, and their status, which also means that you can see when anyone who left, for example, if you want to see before a certain date and you want to say everything before October 1 was that end date, you’ll get a list of all of those ones that have had terms expired prior to a certain date
7:56 so that you can roll back the clock and see who was in charge at that time. So that’s a glance at the governance module.
Legal entity registry
8:04 Let’s take a look at the core legal entities module. So this is your key registry of all of the legal entities that you are managing.
8:12 And all of them have an organization name, of course, a jurisdiction. And notice that that can be at a state or national level.
8:21 So no matter what jurisdiction in the world you are in, Lextree will support you. Lextree is currently used in over 110 countries, one every continent on the planet.
8:31 We support all jurisdictional models, whether your filings are at a national or federal level or at a state or local level.
8:37 Also easy to add in Lextree. The legal form is populated here. You can use our predefined list of those based on every country and jurisdiction in the world or add your own.
8:49 All of this data is entirely customizable for you. So let’s take a look at Great NewCo’s detail. This is a Delaware LLC.
8:58 We see this entity information at the top here. And then we have lifecycle, where we have the formation date, the next annual meeting, and tax and reporting information, like the tax ID number.
9:12 What’s important is all of this data is fully customizable. And that includes the sections. So if you want to change the section names or their order or whether there are any at all, you have complete control over the layout and design of this page.
9:26 We can see all of the registrations for this entity. So that means all of the foreign qualifications for an entity are gathered in one place and available to you here, each of which can be managed independently.
9:40 The governance documents for this entity. So we can drill in and see the articles of incorporation, bylaws, what have you.
9:49 In this case, we have a lot of owner consents at formation. But again, those can be as detailed or as simple as you want.
9:59 Over here on the right, we’ll see important calendar dates for this entity. So here, we have an annual meeting scheduled for the end of the year.
10:07 And we have earlier, before the end of the year, we have a senior management meeting that we’re prepping for. That’s on the calendar.
10:14 That, of course, is going to show on the centralized calendar as well for everyone. And then we have attachments.
10:21 So all of the files are available here. We can, of course, select this. Lextree will display those documents for us.
10:29 And we can keep a running collection of those attachments if we want.
Workflows and team collaboration
10:35 And then we have workflows. So in this workflow, we are tracking a new foreign qualification.
10:41 So we’re going to do a foreign qualification in California. Now, you do not have to use workflows to do this. You can simply say, we have a foreign qualification in California.
10:50 But if you have a process where people are collaborating and working together, workflows is the way to accomplish that. We can see a checklist of steps that have been done, data that’s been filled out.
11:02 We can see an inventory of the activity, both automated as well as commented, so that the team can keep track of what’s going on and what everyone is doing.
11:12 Each workflow can have their own attachments and their own calendar events related to when these steps and tasks are due.
11:20 So these same powerful tools are available throughout the product. And again, workflow is not necessary to do things like a foreign qualification.
11:26 But it can help when you need it. There are lots of workflows built standard into the product. And you can simply add or modify them or delete them if you need.
11:39 So those are the three core modules that make up entity management. Entity ownership, governance, and legal entities.
11:47 There are two administrative features I’ve referenced a couple of times that I want to just underscore in this demo with.
11:54 And they’re both in the settings area.
Activating additional modules
11:58 So the first one is the ability to turn on additional modules. So I said there were some others that might be useful to you depending on your needs.
12:05 So all you do to activate those is come to Settings and Modules. And you’ll see all 21 modules with a description of what they do.
12:15 So signing authority is usually tracked in the Authority section. And then down here at the bottom, we have real estate, and taxes, and treasury, which is used for everything from bank accounts to credit facilities, and trusts, depending on our business needs.
12:31 And we can save and refresh those. And the entire application has now enabled those modules for us.
12:39 So we can see powers of attorney, signing authority for all of our entities. We can manage all of the properties that are involved that we’re managing, and encumbrances, financing, everything related to real estate.
12:52 Same with taxes. Look at our tax obligations. Track our audits.
12:57 Treasury is going to be bank accounts, credit facilities, letters of credit, and so on. And then, of course, trusts will be trust management for any trust that we’re involved with if we’re a family office or something like that.
13:08 So that’s the first administrative feature I wanted to show. It’s very simple to turn on and off modules.
13:14 And you can also control which users have access to them, depending on your subscription plan.
Custom fields and data
13:20 The second setting I wanted to show you was the ability to customize data. It’s very straightforward.
13:26 So for example, I said that you could change any of the legal entity data. So we would come to the entity registry.
13:35 And here, we’re going to see that identity section and that lifecycle section we were talking about. For example, if you don’t track legal entity identifiers, LEI numbers, you could simply delete these two fields, and they would be gone, and you would never have to see them.
13:52 You could also add a new field. And when you do that, all of the fields are typed and structured.
13:57 So we can add a new field. We can say yes, no. And we can say, is this an operating company?
14:05 This is data that is actually captured elsewhere in the standard product. But if you wanted to add it, is this an operating company?
14:14 And we’re going to place it in the identity section. And we could give it a default value if we wanted to. And we can make it required.
14:23 We will simply save this. And all I want to show you is that the entire product has now changed as a result of us adding this field.
14:33 So if we come back to Legal Entities into our registry and select Great NewCo, you’ll now see that we have this brand new field.
14:42 And we can edit that field. And we can see, yes, it’s operating. Now that we have saved that result,
Adding custom data to ownership charts
14:52 let’s go to the entity ownership and add that data to our chart. So adding the field was a one-time administrative step. But now I’m using that data actively as a user.
15:06 And we’re going to focus on Great NewCo, which is where we added that data. And we’re going to choose our fields and operating.
15:20 And there’s our yes. So it’s very simple to add your own data and structure it however you need and to display that throughout the product.
15:30 And that’s true for reports as well.
Recap
15:35 So at a high level, that’s what I wanted to show you about Entity Management in Lextree, those three core modules, the Entity Ownership module, Governance, and Legal Entities.
15:47 But you can turn on additional modules and use those administrative capabilities to make it your own.
15:53 Welcome to Lextree for Entity Management.
